Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Chatrix platform (the "Service") provided by AP Software ("AP Software", "we", "us"), a company registered in Poland under KRS 672751839, NIP 8122261174. By using the Service or executing an Order Form, you ("Customer", "you") accept these Terms.

2. Account

• You must be at least 18 years old and have authority to bind the organization you represent.
• Provide accurate, current information and keep credentials confidential.
• You are responsible for all activity under your account.

3. The Service

Chatrix is an AI-powered live chat platform with a web widget, operator dashboard, REST API and webhooks. Features and plans are described on chatrix.live or in your Order Form. We may improve, modify or discontinue features with reasonable notice for material changes.

4. Fees and payment

• Prices are stated in EUR unless your Order Form provides otherwise.
• Invoices are payable within 14 days unless stated otherwise.
• VAT and other taxes are added where required by law.
• Late payment accrues statutory interest under Polish law.
• Fees are non-refundable except where these Terms or applicable mandatory law require otherwise.

5. Availability

We strive for high availability but do not guarantee uninterrupted service unless an SLA is signed as part of your Order Form (typically for Enterprise contracts). Scheduled maintenance will be communicated in advance where practical.

6. Customer data

You own your Customer Data. We process it as your processor under our Data Processing Agreement, which is incorporated into these Terms by reference. You grant us a worldwide, non-exclusive, royalty-free license to host, transmit and display the Customer Data solely to provide the Service.

7. Acceptable use

You agree not to:

• use the Service for illegal purposes or to transmit illegal content;
• send spam or unsolicited commercial messages in violation of applicable law;
• harass, defraud or deceive any person;
• infringe intellectual property rights or privacy rights of others;
• attempt to circumvent security, rate limits or access controls;
• reverse-engineer or decompile the Service except to the extent permitted by Polish or EU law;
• resell or sub-license the Service outside the scope of our Partner Program.

We may suspend accounts that violate these rules after reasonable notice (immediate suspension for serious violations).

8. Intellectual property

The Service, including software, design, documentation and marks, is owned by AP Software or its licensors. Subject to these Terms you receive a limited, non-exclusive, non-transferable license to use the Service during your subscription. All rights not expressly granted are reserved.

9. Termination

Either party may terminate for material breach not cured within 30 days of written notice. You may cancel a subscription per the Order Form. Sections that by their nature should survive (IP, liability, governing law) survive termination.

10. Disclaimer

EXCEPT AS EXPRESSLY SET OUT HEREIN AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms is limited to the fees paid by you to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data.

Nothing limits liability for (a) death or personal injury caused by our negligence, (b) gross negligence or wilful misconduct, or (c) any liability that cannot be limited under applicable law.

12. Indemnity

You will defend and indemnify us against third-party claims arising out of your violation of Section 7 (Acceptable use) or from your Customer Data.

13. Governing law and disputes

These Terms are governed by the laws of Poland, excluding its conflict-of-laws rules. The courts of Poland having jurisdiction over AP Software's registered office have exclusive jurisdiction over disputes arising out of these Terms. Mandatory consumer protections in the EU remain unaffected.

14. Changes

We may update these Terms with 30 days' prior notice. Continued use of the Service after the effective date constitutes acceptance. Material changes affecting your rights will be highlighted.
